At assistwith.ai, we believe that deploying powerful technology requires a foundation of trust, safety, and clear expectations. We are dedicated to building a secure partnership where automation amplifies your team rather than complicating your operations. These Terms of Service outline the rules of engagement for interacting with our website, our proprietary “Fellowship” platform, and our suite of AI-driven automation services. This document details our mutual responsibilities, ensuring that we maintain a transparent, ethical, and effective “Human-in-the-Loop” working relationship.

1. Introduction and Acceptance

assistwith.ai LLC (“Company,” “we,” “us,” or “our”), a Texas limited liability company, operates an AI-powered automation platform called “Fellowship” (the “Service”). This Service enables users to plan, draft, schedule, and automate content workflows for third-party social media networks including, but not limited to, YouTube, TikTok, Instagram, Facebook, X (Twitter), and LinkedIn (collectively, “Third-Party Platforms”).
By accessing or using the Service-whether through our web application, our Telegram-based chatbot interface, or integrated tools like Trello-you (“User,” “you,” or “your”) agree to be legally bound by these Terms of Service (“Terms”).

2. Description of Service & The "Human-in-the-Loop" Protocol

The Service uses Artificial Intelligence (AI) to generate draft content based on user inputs. You explicitly acknowledge and agree to the following “Human-in-the-Loop” operating model:
 
1. Drafting vs. Publishing: The Service is designed to generate drafts for your review. It does not autonomously publish content to public platforms without a trigger.
 
2. User Responsibility: No content is published to Third-Party Platforms without your explicit approval (e.g., by moving a card on a Trello board or confirming via Telegram). You retain full editorial responsibility and legal liability for all content published through the Service. You agree to review all AI-generated drafts for accuracy, tone, and compliance with platform rules before approving them.

3. Account Registration and Security

To access the Service, you must register for an account or be authorized by your employer to use a corporate account.
 
Credentials: You are responsible for maintaining the confidentiality of your login credentials (including Telegram access). You must notify us immediately at prez.matecki@assistwith.ai if you suspect unauthorized access.
 
One Account: Accounts are non-transferable. You may not share your credentials with third parties to avoid subscription fees.

4. API Usage and Third-Party Platforms

Our Service interacts with Third-Party Platforms via their Application Programming Interfaces (APIs). By connecting a social media account, you authorize us to access and take actions on that account strictly within the scope of permissions you grant.
 
4.1 Platform-Specific Terms
Your use of the Service is also subject to the terms of the platforms we connect to. By using our Service, you agree to be bound by:
 
TikTok: The TikTok Terms of Service.
Meta (Facebook/Instagram): The Meta Platform Terms.
X (Twitter): The X User Agreement.
Linkedin: The Linkedin Service Terms.
 
4.2 Revocation
You can revoke our access to your data at any time via the Google Security Settings page (for YouTube) or the connected apps section of the respective Third-Party Platform.

5. User Content and Intellectual Property

5.1 Your Content
You retain all ownership rights to the text, images, videos, and data you upload to the Service (“User Content”). We do not claim ownership of your content.
 
5.2 License to Us
By submitting User Content, you grant assistwith.ai a non-exclusive, worldwide, royalty-free license to use, copy, process, and transmit your content solely for the purpose of providing the automation service to you. (e.g., we need the right to copy your video file to send it to YouTube on your behalf).
 
5.3 Our IP
The “Fellowship” platform, underlying code, automation workflows, and AI prompt engineering methodologies are the exclusive property of assistwith.ai LLC. You agree not to reverse engineer, scrape, or copy our source code or workflows.

6. Acceptable Use Policy

You agree not to use the Service to:
 
1. Generate or publish illegal content: This includes hate speech, harassment, sexually explicit material, or content that promotes violence.
 
2. Manipulate metrics: You will not use the Service to artificially inflate likes, views, or followers (spam).
 
3. Harm infrastructure: You will not attempt to bypass our rate limits, introduce viruses, or overburden our API connections.
 
4. Violate Platform Rules: You will not use the Service to violate the Community Guidelines of YouTube, TikTok, or any other connected platform.
We reserve the right to suspend any account found violating this policy immediately.

7. Subscriptions, Payments, and Testing Period

7.1 Testing Period
If you are granted a “Testing Period” (typically 3 weeks), you may use the Service free of charge. At the end of this period, you must begin a paid subscription to continue access.
 
7.2 Billing
Subscriptions are billed in advance on a monthly basis. All fees are non-refundable unless required by law. If a payment fails, we may suspend access to the Service until payment is rectified.
 
7.3 Cancellation
You may cancel your subscription at any time. Your access will continue until the end of the current billing cycle. Upon cancellation, we may retain your data in a dormant state for up to six (6) months to facilitate easy reactivation, after which it may be permanently deleted.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSISTWITH.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
We do not warrant that:
 
The Service will be uninterrupted or error-free.
 
The AI-generated drafts will be perfect, factually accurate, or free of “hallucinations.”
 
Your content will achieve specific view counts or engagement metrics.

9. Limitation of Liability

IN NO EVENT SHALL ASSISTWITH.AI LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend and indemnify assistwith.ai LLC against any claims, damages, or legal fees arising from:
 
1. Your violation of these Terms.
 
2. The content you approve and publish using the Service (e.g., if you publish a post that defames someone or infringes a copyright, you are responsible).

11. DMCA Copyright Notice

We respect intellectual property rights. If you believe content processed by our Service infringes your copyright, please send a notice to prez.matecki@assistwith.ai including identification of the work and your contact information.

12. Privacy and Data Protection

Your use of the Service is governed by our Data & Privacy Policy.
 
Google API Disclosure: We affirm that data obtained via Google/YouTube APIs is handled in strict compliance with the Google API Services User Data Policy, including Limited Use requirements. We do not sell your data to third parties.

13. Governing Law and Arbitration

These Terms shall be governed by the laws of the State of Texas. Any dispute arising under these Terms shall be resolved by binding arbitration seated in Dallas, Texas, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
